General Terms and Conditions of Sales

1. OBJECT

The general conditions of sale aim to define the rights and obligations of BERTHE WEB and the brand BERTHE AUX GRANDS PIEDS, the products presented by BERTHE WEB and BERTHE AUX GRANDS PIEDS on its website www.bertheauxgrandspieds.co.uk (hereinafter " The Site ") and those of the customer.

These rights are applied exclusively between BERTHE WEB and the BERTHE AUX GRANDS PIEDS trademark 9, route des Davières 49125 BRIOLLAY, RCS 532 288 784 RCS Angers (hereinafter "BERTHE") and any consumer (hereinafter "the Customer") visiting or making a purchase via said site.

On the Site, BERTHE WEB allows the customer to order on-line products (hereinafter "the Product (s)" of the brand name BERTHE AUX GRANDS PIEDS according to the presented general conditions.

Any order made on BERTHE WEB entails the unreserved acceptance by the Customer of these conditions. These terms and conditions may be modified at any time by BERTHE WEB without notice, with the applicable conditions being those in effect at the date of the order by the Customer.

2. PRODUCTS AND COMPLIANCE

2.1. The Products offered for sale are presented on the BERTHE Site and are accompanied by a description.

2.2. The products offered by BERTHE comply with all standards, regulations and laws applicable in France.

The Site content such as photographs, texts, graphics, all information and features illustrating and/or accompanying the Products are not contractual, which the Customer acknowledges.

Consequently, BERTHE cannot be held liable for any error or omission of/in any of these elements or in the case of modification of said elements by the suppliers and /or publishers.




3. CUSTOMER OBLIGATIONS

3.1. The Customer declares to be at least 18 years old and have the legal capacity or to have parental authorization enabling him/her to place an order on the Site.

3.2. The Customer undertakes to communicate to BERTHE the necessary information required for the realization of the service subject to these conditions as requested online and according to the situation, including his/her last name, first name, address, telephone and E-mail address.

The Customer is responsible for the consequences arising from the transmission of false or inaccurate information or illegally impersonating another person (identity theft).

3.3. Once the order has been placed, BERTHE will send the Customer an e-mail confirming the order and inform the customer of the shipping method and approximate shipping dates as known to Berthe at time of order.

3.4. The Customer may modify its data in the my account section.




4. ORDER

4.1. All orders will only be validated after acceptance of payment.

4.2. BERTHE reserves the right to cancel or refuse an order in the event of a dispute with the Customer on a previous order.

4.3. BERTHE can only accept orders within the limits of available stocks. The Site will inform the Customer of the availability of the Product(s) sold on the Site at the time of order confirmation.

If, despite the vigilance of BERTHE the products are unavailable, BERTHE will inform the Customer by e-mail as soon as possible. The Customer may then cancel his order and be reimbursed, if any, the sum already paid.

In no event shall BERTHE be liable for any temporary or complete unavailability, nor shall the Customer be entitled to any compensation or damages as a result of any delay, order cancellation or miss-ship.




5. PRICES

5.1. The prices displayed on the Site are indicated in Euros with all French taxes included (French VAT and other applicable taxes), excluding postage/shipping, processing and packing costs.

The shipping costs, processing costs and packaging costs will be indicated in the Customer's basket before the final order validation.

Prices may be changed at any time without prior notice and particularly in the case of changes in tax or economic data. Items will be billed on the basis of the rates in effect at the time of registration of the order.

6.2. Terms of delivery :

Products are shipped with a delivery note to the delivery address indicated by the ‘Customer’ when ordering. Delivery cannot be made to hotels or Post boxes. The delivery times indicated on the website are approximate and correspond to average processing and delivery times.

To help make these delivery dates as accurate as possible, the customer must ensure the delivery information he/she has provided is also accurate and complete. Such as and not excluding: Full name, street, house or apartment number, building, stairways, access codes, names and / or intercom numbers, email address and any other information the carrier would need to find your address and get access to your door.

In case of a delay in delivery of more than 7 working days and/or if the product has not been shipped, the ‘Customer’ may terminate the order by registered letter with proof of purchase (receipt) and request a refund on the order.

If the item(s) have been shipped before receiving the cancellation letter, for orders delayed more than seven (7) days, BERTHE will refund the item(s), the shipping and return shipping costs upon receipt of said items complete and in original condition, unworn and with all labels intact.

BERTHE will undertake to keep the ‘Customer’ informed during each step of the order and delivery process.

In the case of damaged packages/item(s) the ‘Customer’ must notify the carrier and BERTHE customer service within three (3) days of receipt of the damaged order/product(s).

BERTHE cannot be held responsible for routing and/or delays as a result of carriers domestic or foreign or the consequences of such delays.




7. PAYMENT

Full payment must be made at the time of order. At no time may the sums paid be considered as deposits or down payments. The Customer will pay for the order by credit card (Visa, Euro card or MasterCard), PayPal account, check or by bank transfer in accordance with the provisions of this article.

For any transaction, the Customer will indicate the number on the front of his card, the expiry date of the card and the cryptogram on the back of his card (last three digits).

The communication by the Customer of his credit card number authorizes BERTHE to debit their account up to the amount of the order being placed.

No cash consignment will be accepted for any reason whatsoever.

BERTHE shall retain ownership of the article until full payment of the price by the Customer and purchases have been made in a secure manner. The payment solutions adopted by BERTHE are 100% secure. For credit card payments (blue card, blue card visa and e-card blue), all the information that the Customer communicates on the SITE is strictly protected and BERTHE guarantees the compliance and security of each transaction.




8. TRADE AND RETURN OF PRODUCT (S)

RIGHT TO RETRACT

Within fifteen (15) days from receipt of the order, the Customer may request from BERTHE to return or exchange of the Product (s). The product must not have been opened, worn or washed.

To do this, the Customer will use the return form received with the order and which includes all the information for the exchange or refund of the Product (s).

The Customer shall return at his own expense the Product (s) except in the case where he has received a product with a manufacturing defect or that which does not correspond to the Customer's initial order.

Return or exchange is at the risk of the Customer. The Product must be returned in its original packaging, in its original condition, new, unworn, unwashed, accompanied by the return voucher, to the following address:

In the case of a refund, this will be done by a credit of the amount to be refunded to the Customer's bank account.

In the absence of compliance by the Customer with these conditions, in particular the conditions of return or exchange, BERTHE will not be able to proceed with the refund of the Product(s) concerned.




9. WARRANTIES AND LIABILITY

BERTHE has only an obligation of means for all stages of access to the SITE, from the order process to the dispatch of the parcel or subsequent services. BERTHE cannot be held liable for inconveniences or damages inherent in the use of the Internet such as a breach of service, external intrusion, the presence of computer viruses or any act known as force majeure in accordance with the law and jurisprudence.




10. INTELLECTUAL PROPERTY

Under no circumstance shall the Customer be authorized to download or modify all or part of the Site and in particular its contents (listed products, descriptions, images, videos). This Site or any part of this Site may in no circumstances be reproduced, copied, sold or exploited for commercial reasons without the express written permission of BERTHE.

In general all copyrights, trademarks and other distinctive signs, proprietary or intellectual property rights appearing on the Site will remain the full and entire property of BERTHE.

The Customer is therefore obliged to respect the intellectual property rights and will not be able to use the trademarks appearing on the Site and the products if any, or to file a trademark that would prejudice the rights holder unless otherwise stipulated in a contract.

The same applies to any other and all intellectual property rights.




11. WARRANTIES AND LIABILITY

BERTHE agrees to use the confidential information of the Customer only in the context of the utilization of its Site.

For the orderly processing of the order, the personal data collected will be the subject of computer processing and the Customer acknowledges to have knowledge of it.

As such, the information concerning him/her may be communicated to BERTHE’ technical service providers.

In addition, BERTHE will be able to apply technical means to obtain non-personal information relating to internet users and intended to improve the functionality of the Site, for example by tracing the number of visitors on certain pages.

In accordance with the law of 6 January 1978 and amended by the law of 6 August 2004, the Customer has the right to access and rectify the personal data concerning them contained in the BERTHE files. 12. FORCE MAJEURE

In the event of an event of force majeure, the party concerned must inform the other party within fifteen (15) days of the occurrence of the event by registered letter with acknowledgment of receipt.

Expressly, force majeure or unforeseeable circumstances and in addition to those usually adopted by the jurisprudence of the French courts, are considered as total or partial strikes, lock-outs, riots, boycotts or other industrial actions or disputes Civil strife, insurrection, war, bad weather, epidemic, blockade of means of transport or supply for whatever reason, earthquake, fire, storm, flood, water damage, governmental or legal restrictions and/or regulation of forms of marketing, computer breakdown, blockage of telecommunications, including wired or wireless telecommunications networks, and any other case beyond the control of the parties thereby preventing the normal performance of the contractual relationship.

All obligations of the parties shall be suspended throughout the duration of the event of force majeure without compensation.

If the event of force majeure lasts for more than three (3) months, the contract concerned may be terminated ipso jure without compensation for either party.




13. GENERAL PROVISIONS

13.1. Partial validity of clause

If any of the stipulations of these conditions are declared null or void by a competent court, it will be declared unwritten and will not invalidate the other stipulations.

13.2. Update

These terms and conditions may be modified at any time by BERTHE without notice, with the applicable conditions being those in effect at the date of the order by the Customer.

These general conditions of sale are permanently accessible at the following address: http://bertheauxgrandspieds.co.uk/pdf/cgv-en.pdf in a computerized format allowing them to be printed and / or downloaded in the event the Customer wishes to reproduce, print or download.

13.3. Applicable law - Court of competent jurisdiction

These general conditions are subject to French law as regards the substantive rules as well as the rules of form. Any dispute shall be the subject of a prior attempt to reach a friendly settlement.

In the absence of an amicable settlement, competence is attributed to the competent French courts, notwithstanding the plurality of defendants or the plea.

13.4. Reproduction of the applicable texts (Ordinance 2005-136 of 17 February 2005, Consumer Code, Civil Code)

Art. L. 211-4. Of the Consumer Code

The seller is obliged to deliver goods in conformity with the contract and is liable for any defects of conformity existing at the time of issue. It also answers to the defects of conformity resulting from the packaging, the assembly instructions or the installation when this was charged to it by the contract or was carried out under its responsibility.

Art. L. 211-5. Of the Consumer Code

- To comply with the contract, the property must :

1. Be fit for the customary use of a similar good and, where applicable :

- correspond to the description given by the seller and possess the qualities which he has presented to the Customer in the form of a sample or a model;

- present the qualities which a Customer may legitimately expect in the light of public statements made by the seller, the producer or his representative, in particular in advertising or labeling.

2 . Or present the characteristics defined by mutual agreement by the parties or be specific to any special use sought by the Customer, brought to the knowledge of the seller and which the latter has accepted.

Art. L. 211-12. Of the Consumer Code

The action resulting from the lack of conformity is prescribed by two years from the delivery of the property.

Art. 1641 of the Civil Code

The seller shall be liable for the hidden defects of the thing sold which render it unfit for the use for which it is intended, or which so diminish the use that the Customer has not acquired it, or would have given a lesser price if he had known them.

Art. 1648 paragraph 1 of the Civil Code

The action resulting from the defects must be brought by the purchaser within two years from the discovery of the defect.
